Terms of use
Effective date: [EFFECTIVE DATE]
These terms apply to your use of kwaant.com (the "website") and to applying for early access to Kwaant. Please read them, along with our privacy policy and risk disclaimer. By applying for early access, or by using the website, you agree to these terms. If you do not agree, please do not apply or use the website.
1. Who we are
The website and the early-access programme are run by Tosh Grob and a co-founder (together "Kwaant", "we", "us"), based in Florida, United States. Contact: hello@kwaant.com.
2. Who can apply
You must be 18 or older, and able to enter into a binding agreement where you live, to apply for early access. One application per person.
3. What Kwaant is, and what it is not
Kwaant is an AI quantitative research tool. You describe a trading strategy; Kwaant tests it on historical market data, searches for variations, checks those variations for luck and reports the evidence.
- Research and education only. Nothing on the website, and nothing Kwaant produces, is investment, financial, trading, tax or legal advice, or a recommendation to buy or sell anything. Kwaant does not know your finances or goals.
- Kwaant never places a trade. It does not connect to a broker or manage money. If you export a strategy as Pine Script and automate it yourself, you do so on your own decision and at your own risk.
- No promises about results. Results are based on historical data and are hypothetical. A verdict of "Improved" means a variation passed every check on history, including a stretch of history set aside and not looked at during the research. It is not a prediction and not a promise of future results.
Please read the risk disclaimer before acting on anything you learn from Kwaant.
4. Early access
Applying. Applying for early access is a request to join the waitlist for Kwaant's private beta. No payment is needed to apply. Applying does not guarantee a place in the beta, and we decide who is invited and when.
What early access includes, as described on the website:
- Your place in line. When the private beta opens, we will email you when it is your turn.
- A free strategy test for a few applicants. We will pick a few applicants and test their strategy with Kwaant at no cost, before the beta opens. We choose them on these criteria: how well the strategy fits what Kwaant can test, and how clearly and completely the applicant described it. People at Kwaant make the choice; it is not a draw, raffle or contest, and no one is chosen at random. Being picked is not guaranteed, nothing is owed to applicants who are not picked, and there is no cash or other alternative. If you are picked, we will ask you to confirm before we test anything, and we may ask you to accept short terms for the test. The results of your test are yours: we will not publish them or use them in marketing without your written permission.
- An optional invitation to our Discord community. Joining is free and optional. Discord's own terms and policies apply there.
- An early-access price. Applicants who join the beta when it launches will be offered a special price that they keep for as long as they stay subscribed. The price, its conditions and the refund terms will be published before anyone is asked to pay. It will be a recurring subscription price, not a one-time payment.
The beta will be paid. You will see the price and the terms before you are asked to pay anything, and you are under no obligation to join.
We may change or end the early-access programme or any of its benefits before the beta opens. If we do, we will tell applicants by email.
5. Emails from us
By applying, you agree that we can email you about your application, the beta and the early-access benefits. These emails are part of the service you asked for. We send updates about Kwaant only if you ticked the box for them, and every update email has a link to unsubscribe.
6. Your information and your strategy
How we handle your information is described in our privacy policy. Please give accurate information when you apply.
You keep ownership of the strategy you describe to us. You give us permission to use your application, including your strategy description, only for the purposes set out in the privacy policy, and we treat your description as confidential as described there. Do not include anything you do not have the right to share, such as another person's or firm's confidential material.
If you send us suggestions or feedback about Kwaant, you agree we may use them freely without paying you.
7. Acceptable use
When using the website, you agree not to:
- submit false information, apply using someone else's email address, or apply many times to gain an advantage;
- use bots or other automated means to submit applications, scrape the website or overload it;
- try to gain unauthorised access to the website, our systems or other people's information;
- interfere with the website's security or its spam protection;
- use the website for anything unlawful.
We may remove applications that break these terms.
8. Intellectual property
The website, its text, design, illustrations and animations, and the Kwaant name and logo belong to us or our licensors. You may view the website and share links to it. You may not copy, modify or reuse its content or branding without our written permission.
Charts and examples on the website are illustrative. They are not real market data and not results produced by Kwaant. Other names, such as CME Group and Pine Script, belong to their respective owners and are used only to describe a data source or a format. Their use does not mean those owners endorse or sponsor Kwaant.
9. Disclaimer of warranties
THE WEBSITE AND THE EARLY-ACCESS PROGRAMME ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE MAKE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OR NON-INFRINGEMENT. WE DO NOT PROMISE THAT THE BETA WILL OPEN ON ANY PARTICULAR DATE, OR AT ALL, OR THAT ANY FEATURE DESCRIBED ON THE WEBSITE WILL BE AVAILABLE.
10. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, KWAANT AND THE PEOPLE WHO RUN IT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE LOSS, OR FOR ANY TRADING LOSSES, LOST PROFITS OR LOST DATA, ARISING FROM YOUR USE OF THE WEBSITE OR FROM APPLYING FOR EARLY ACCESS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE WEBSITE OR EARLY ACCESS IS LIMITED TO [LIABILITY CAP].
Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, such as liability for fraud, or takes away rights you have as a consumer under the law where you live.
11. Changes to these terms
We may update these terms. We will change the effective date above, and for material changes we will email applicants before they take effect. If you continue to use the website or stay on the list after a change takes effect, the updated terms apply. You can leave the list at any time by emailing us.
12. Governing law and disputes
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law rules. Before bringing a claim, please email us so we can try to resolve it informally. Any dispute will be handled by the state or federal courts located in Florida, except that either of us may bring a claim in small-claims court where it qualifies. If you live outside the United States, you also keep any right your local law gives you to bring a claim in your local courts.
13. General
If any part of these terms is found unenforceable, the rest stays in effect. If we do not enforce a part of these terms straight away, we have not waived it. These terms, together with the privacy policy and the risk disclaimer, are the whole agreement between us about the website and early access. We may transfer these terms to a company that takes over Kwaant; you may not transfer them.
